Terms of service
The agreement between you and Neek Digital Solutions Ltd for using Mihe. It is written to be read, and where a sentence here and a longer one elsewhere disagree, this page wins.

The agreement
These terms are between Neek Digital Solutions Ltd, of Lagos, Nigeria (“we”), and the business you sign up for (“you”). By creating an account or using Mihe, you agree to them, and you confirm you can agree on that business’s behalf. The Privacy policy and the Refund policy are part of them.
What Mihe is
Mihe is an assistant you embed in your own software. It answers your users, shows them around your app, and carries out the actions you register, for whoever is signed in, within the permissions your own backend grants. It includes the dashboard at app.mihe.dev, the runtime, the SDK and the documentation.
Organisations and people
Your business uses Mihe through an organisation. Each person who signs in has their own account, and may belong to several organisations with different roles. Owners manage billing and membership.
You are responsible for who you let into your organisation, for what they do there, and for keeping your keys and passwords secret. If you think a key or a password has leaked, replace it and tell us.
Credit and payment
- Mihe is prepaid. You buy credit in US dollars, and typed turns and seconds of voice are taken from it at the prices on the Pricing page when they happen. There are no plans, seats or monthly fees.
- Credit does not expire, and it is not money held on your behalf. It can only be spent on Mihe, and it is not refundable once bought, except for a charge made in error, as the Refund policy says.
- Tax is added when you buy credit where the law requires it, and is never taken from credit you spend.
- Prices can change. We email every organisation’s owners at least 30 days before a price rises. A price that falls can fall straight away.
- Your balance is the record. If you think a charge is wrong, tell us within 60 days and we will look at the usage behind it with you.
An empty balance
When your balance reaches zero, the assistant stops answering in your apps, and tells your users to ask an administrator. Nothing else changes, and it answers again when you buy more credit.
If a balance stays at zero, we may, after 30 days, stop searching the documents you uploaded while keeping them. We will not delete an organisation’s data for an empty balance without first emailing its owners and giving them time to act.
Actions in your app
Mihe acts only through what you set up: the actions you register, the risk tier and permissions you give each one, and the permissions your backend puts in each user’s token. High-risk actions wait for your user to confirm them on screen.
That setup is yours, and so is its result. You are responsible for the actions you register, the risk tiers you choose, and your backend checking every action call for itself, as the Security page sets out. When the assistant does something your configuration allowed and your user confirmed where it was required, it did what you set it up to do.
The assistant is built on AI models, which can misunderstand a request or be wrong. That is why the confirmations and permissions exist. Set risk tiers with care, and do not register as low risk anything you would not want run without asking.
Your users and their data
You decide what your app sends to Mihe about your users, and we process it for you to run the assistant, as the Privacy policy describes. You are responsible for telling your users, and for having the right to send it.
You own your data and your content. You give us the right to use them only to provide Mihe to you, and we do not use them to train models.
Acceptable use
Do not use Mihe to:
- break the law, or help anyone else break it;
- harm, deceive or harass people, or collect their data without a right to;
- get around its limits, probe its security without our agreement, or reach another customer's data;
- resell access to it as a general-purpose model;
- do anything the model provider's usage policies forbid;
- make decisions with legal or similarly serious effects on a person, such as credit, employment or medical care, without a person reviewing them.
Suspension and closing
You can close an organisation at any time from the dashboard. Closing stops its apps and keeps its data and balance, so it can be opened again. To have its data deleted, ask us, as the Privacy policy says.
We may suspend an app or an organisation to stop a security problem, unlawful use, or a breach of these terms, and we will tell you why unless the law or the risk prevents it. We may close an organisation for a serious or repeated breach. If we close Mihe as a service, we will give at least 90 days’ notice.
What we promise, and what we do not
We will run Mihe with reasonable skill and care, and protect your data as the Security page describes. Beyond that, Mihe is provided as it is. We do not promise it will be uninterrupted or free of errors, or that the assistant’s answers will be right.
Liability
Neither of us is liable to the other for lost profits, lost revenue or indirect loss. Our total liability to you in any twelve months is limited to what you paid us in those twelve months. Nothing here limits liability that the law does not allow to be limited.
Changes
When these terms change in a way that matters, we email every organisation’s owners at least 30 days before it takes effect. Carrying on using Mihe after that means you accept the change. If you do not, you can close your organisation before then.
Law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State have jurisdiction. Before going to court, tell us about the problem and give us 30 days to put it right.
